Terms of Service

pause.

1. Contracting party and acceptance

These Terms of Service (Terms) govern access to the pause. application, website and related services (Service). In this draft, ‘pause.’, ‘we’, ‘us’ and ‘our’ identify the operator provisionally by its trading name; the operator’s legal name, address and contact details must be inserted before these Terms are adopted. You contract with the operator, not with an individual retailer whose products appear in the Service.

Once these Terms are formally adopted and presented to you, creating an account, accepting these Terms or continuing to use the Service after receiving notice of them constitutes agreement to them to the extent permitted by applicable law. These Terms do not replace any separately required privacy notice, consent or payment-provider terms. Merely displaying this draft does not constitute consent to the sale of personal data.

You must have legal capacity to enter this agreement under the law applicable to you. If you act for an organisation, you represent that you have authority to bind it. If you cannot lawfully agree, you must not use the Service.

2. Nature and limits of the Service

pause. helps users capture shopping interests, postpone decisions, record reflections and review spending intentions. Shopping checkout inside pause. is a simulation: it does not order a retailer’s goods, transfer payment to a retailer, reserve stock or arrange delivery. A pause-end date is not a delivery promise. Any eventual purchase on a retailer’s site is a separate transaction with that retailer.

The Service is not medical, psychological, financial, investment, legal or tax advice, nor a treatment for compulsive shopping. Estimates of avoided spending, prices, budgets, classifications and community statistics are informational, may be incomplete or inaccurate, and do not establish actual savings. You remain responsible for purchases and for obtaining appropriate professional assistance where needed.

3. Accounts and security

Provide accurate account and profile information, keep it reasonably current, safeguard your sign-in credentials and notify the operator through its designated support channel of suspected unauthorised access once that channel is published. Do not share accounts, impersonate others or create accounts to circumvent restrictions. You are responsible for activity you authorise; this clause does not remove protections applicable to unauthorised use or failures attributable to us.

Names, phone numbers, addresses and profile photos are optional personal information used for account features and simulated checkout. Do not enter real payment-card credentials into practice checkout or diary fields. The simulated checkout is not a payment vault and must not be used to store real card data in custom account fields.

4. Free access, Plus and promotional trials

Free access currently permits five basket additions per day. Plus currently provides unlimited basket additions, custom pause lengths, budget and per-item limits, no in-app ads, and early access to eligible discount codes. Both tiers include the standard 24-hour, 72-hour and seven-day pauses. Technical safeguards against misuse may still apply to unlimited access.

Plus is currently offered at US$1 per month or US$10 per year. Taxes, currency conversion and the final amount payable are disclosed by checkout. New accounts currently receive 30 days of Plus automatically without a payment card. That no-card promotion ends without an automatic payment; an account without a paid subscription returns to Free. Selecting a paid subscription during the promotion starts the paid purchase shown in checkout and does not promise an additional unpaid billing period.

Paid subscriptions renew at the frequency and price disclosed in checkout unless cancelled in accordance with the applicable payment terms. Any prospective change in price or materially reduced benefits will be communicated as required by applicable law. No change retroactively alters amounts already paid or overrides mandatory cancellation rights.

5. Payments, cancellation and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payments for Plus, invoicing, applicable taxes, subscription billing, cancellation and refund mechanics are governed by Paddle’s Buyer Terms and Refund Policy, linked below, together with mandatory applicable consumer law. You may manage your subscription through the subscription-management option where available. Cancelling renewal does not by itself determine whether a refund is due; Paddle’s policy and applicable law govern that question.

To request a refund or obtain payment support, visit paddle.net. Nothing in these Terms imposes an ‘all sales final’ condition or limits a refund, withdrawal or cancellation right that cannot lawfully be excluded.

6. Acceptable use

You must not use the Service unlawfully; commit fraud; distribute spam; infringe intellectual-property, privacy or other rights; upload malware; probe, disrupt or bypass security; scrape or extract data without authorisation; access another person’s account; or defeat usage restrictions. Do not submit content you lack the right to provide, unlawful threats or material exposing another person’s sensitive information without a lawful basis.

Do not manipulate referral claims, reward points, community statistics or discount eligibility, including through duplicate accounts, automated activity or false transactions. We may investigate suspected misuse, restrict abusive activity and correct demonstrably invalid rewards, subject to applicable law and proportionate review.

7. Intellectual property and user content

The operator and its licensors retain ownership of the Service, its software, documentation, design, branding and associated intellectual property. Subject to these Terms and your selected plan, you receive a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purposes. No ownership transfers. Do not resell, redistribute, reverse engineer or circumvent the Service except where applicable law expressly permits it.

You retain any rights you hold in your original diary entries, photos and other submissions. You grant us a non-exclusive licence to host, copy, transmit and process them only as reasonably necessary to provide and secure the Service and carry out separately disclosed, lawfully authorised purposes. This licence does not independently authorise the sale of identifiable diary entries or override your privacy rights. Retailer content and trademarks remain the property of their respective owners.

Rights-holder complaints must be submitted through the operator’s designated contact channel once published, identifying the material and the basis of the claim. We may remove or restrict disputed material and suspend accounts for serious or repeated infringement, subject to applicable legal procedures.

8. Data collection and operational use

Service data may include account identifiers, contact and profile details, uploaded photos, default shipping details, captured product links and stores, shopping interests, pause choices, decisions, diary entries, referral activity, points, subscription status and technical information generated when using the Service. The scope actually collected must be described in a separate Privacy Notice; this list is not a representation that every category is always collected.

We may process data to provide account syncing, simulated checkout, reflection and budgeting features, notifications, rewards, discount matching, security, customer assistance and service analytics, only on appropriate legal grounds. Authorised owner reporting may use shopping and reflection data for analysis; user-facing community reporting is aggregated rather than a disclosure of other users’ individual account records. Automated classifications and summaries may be wrong and are not professional advice.

The applicable Privacy Notice must identify the actual controller, purposes, legal grounds, recipients, international-transfer arrangements, retention periods and rights-request channel. These Terms are not a substitute for those disclosures, and do not waive privacy, confidentiality or data-protection rights.

9. Commercial use and sale of data

Commercial data use is contemplated: pause. may develop and sell or license shopping-trend reports, sector analyses and other insights to retailers, brands, researchers and commercial partners. Those products must use genuinely anonymised or appropriately aggregated information where individuals cannot reasonably be identified. Removing a name alone does not make information anonymous; pseudonymised records remain personal data where they can be linked back to a person.

If pause. proposes to sell, license or otherwise disclose identifiable or linkable personal data for a partner’s own purposes, it must first provide a clear, separate disclosure specifying the data categories, recipients or recipient categories, purpose and applicable choices, establish a valid legal basis, and obtain separate affirmative consent wherever required. This includes any proposed disclosure of shopping histories or diary contents that remain identifiable. Accepting these Terms alone is not that consent, and no personal-data sale is enabled by this draft.

Any applicable right to opt out, object, withdraw consent or restrict processing must be honoured. Declining optional commercial-data consent must not be treated as consent by silence, inactivity or a preselected control. Withdrawal does not make previously lawful processing unlawful, but it prevents further consent-based processing unless a separate lawful ground genuinely applies. We must not use indefinite retained personal-data copies to evade a deletion request or continue unauthorised sales.

10. Service providers and third-party services

Providing the Service may require hosting, storage, authentication, analytics, product-information, classification and notification providers. Processing by those providers must be limited to lawful, disclosed purposes with appropriate contractual and security safeguards. Paddle separately processes purchase-related information in its role as reseller and Merchant of Record. Where required by law, information may also be disclosed to authorities or professional advisers.

Retailer pages, prices, availability, codes and external links are controlled by third parties. We do not guarantee their accuracy, availability, security or fulfilment. Review the retailer’s terms before buying. International data transfers, if any, require the safeguards and disclosures applicable to the user and controller; these Terms do not grant a blanket permission to transfer data without those safeguards.

11. Data downloads and deletion requests

You may use the Account export option to download the app-state information that option provides. It is not represented as a complete export of all account, billing, photo, log or provider records. You may request access, correction, a broader copy or portability of your personal data, objection, restriction or deletion to the extent required by applicable law. Identity verification may be required and must be proportionate.

The current Account ‘Delete my data’ option clears app-state items, credits and points; it is not a full account-erasure request and does not by itself erase separate profile, photo, subscription, billing or operational records. A designated contact method for broader deletion requests must be published before this draft is adopted. Requests must be handled within applicable statutory time limits, with any lawful refusal or limitation explained.

A deletion request does not automatically cancel a paid subscription. Manage renewal with Paddle separately, or seek billing support at paddle.net. Conversely, subscription cancellation is not a personal-data deletion request. These procedural distinctions cannot be used to frustrate mandatory consumer or privacy rights.

12. Retention, archives and backup copies

Information may be retained only for as long as reasonably necessary for the disclosed purposes or as required by applicable law. Following a valid deletion request, identifiable information must be erased or irreversibly anonymised unless a specific legal obligation or other lawful, necessary exception applies, such as retaining transaction evidence, investigating fraud or establishing, exercising or defending legal claims.

Copies made before a deletion request are not exempt merely because they predate the request. Any permitted retention must be purpose-limited, access-restricted and proportionate. Backups may remain temporarily until the documented backup rotation expires; while retained, deleted records must not be restored to ordinary active use or repurposed for marketing or sale. If a recovery restores deleted data, deletion must be reapplied. Specific retention and backup periods must be documented in the Privacy Notice before adoption.

Genuinely anonymised statistics may remain after account deletion where no person can reasonably be identified and applicable law permits retention. This exception does not extend to records that are merely pseudonymised. Nothing grants a perpetual right to keep identifiable copies for unspecified future commercial purposes.

13. Availability, changes and termination

We do not guarantee uninterrupted or error-free operation, exact notification delivery or continuous availability of third-party pages. Maintenance, network conditions and device settings may affect the Service. We may modify or discontinue features subject to contractual commitments, reasonable notice where appropriate and mandatory rights concerning paid services.

We may suspend or terminate access for material breach, non-payment, fraud or security risk, unlawful activity or serious or repeated policy violations. Where lawful and reasonably practicable, we will provide notice and an opportunity to address remediable breaches; urgent protective measures may be taken without advance notice. Termination does not eliminate accrued rights, valid refund claims or data-protection obligations. Export and deletion rights remain subject to the lawful limitations described above.

14. Warranties and liability

To the fullest extent permitted by applicable law, the Service is provided ‘as is’ and ‘as available’, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. No estimate, recommendation or notification constitutes a guarantee of a particular financial or behavioural result.

To the fullest extent permitted by applicable law, we exclude indirect, incidental, special and consequential losses, including lost profits, goodwill or opportunity. Subject to the following paragraph, aggregate liability arising from the Service is limited to the fees you paid for the Service in the 12 months preceding the event giving rise to the claim.

No exclusion or cap applies to fraud, wilful misconduct, liability for death or personal injury where non-excludable, or any consumer, privacy, statutory remedy or other liability that applicable law does not permit us to exclude or limit. If an exclusion or cap is unenforceable, liability is determined by applicable law rather than by an implied waiver of your rights.

15. Responsibility for third-party claims

To the extent legally enforceable, you are responsible for reasonable, proven losses resulting from third-party claims directly caused by your unlawful submissions, infringement of another person’s rights or material breach of these Terms. This provision does not impose liability for our own fault, require payment of unsubstantiated losses or diminish non-waivable protections. We must give reasonable notice of a claim and must not agree to a settlement imposing obligations on you without your consent where required.

16. Governing law and exclusive Kuwaiti courts

These Terms and, to the extent legally permissible, any contractual or non-contractual dispute arising out of or in connection with the Service, its use or these Terms are governed by the laws of the State of Kuwait, excluding conflict-of-law principles that would require another governing law.

Subject to mandatory applicable law, the competent courts of the State of Kuwait have exclusive jurisdiction over all litigation arising out of or relating to the Service or these Terms. The parties submit to those courts. This clause does not require arbitration and does not prevent a complaint to a competent regulator.

Nothing deprives a consumer of mandatory protections or access to courts that applicable law requires, including protections applicable in their habitual residence. Where an exclusive-jurisdiction or governing-law provision cannot lawfully bind a particular user or claim, it applies only to the legally permissible extent. Enforceability and the appropriate Kuwaiti venue require review by qualified Kuwaiti counsel.

17. Notices, amendments and general provisions

Material amendments must be communicated through appropriate in-app or account notices before taking effect where required. New purposes involving personal data require fresh disclosures and any necessary consent; they cannot be introduced solely by silently editing these Terms. Changes do not retrospectively remove accrued rights.

If a provision is invalid, the remaining provisions continue only to the extent legally enforceable. Failure to enforce a right is not a waiver. You may not transfer your contractual rights without consent except as permitted by law; we may transfer the agreement in a genuine restructuring or business transfer subject to applicable notice and protection requirements. Events beyond reasonable control may excuse performance only to the extent permitted by law and do not excuse mandatory refund or data-security duties.

These Terms, applicable plan disclosures and reseller terms govern the relevant contractual subject matter without overriding mandatory law. The operator’s verified legal identity, business address, support and rights-request contact, a separate Privacy Notice and retention schedule remain outstanding before final adoption.
